Exercise Content License

Draft 2026-11-04. HEPonDemand ("we") and the licensee ("you").

Draft for legal review. These terms may change before they take effect. The plain-language summary is not a substitute for them.

1. What you get

While your plan is active, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to fetch the exercises, pictures, programs and handouts (the “Content”) through the API and to display them to the end users of the one product named on your account (the “Product”). On the Platform plan, your Product's clinic customers may also build programs from the Content inside the Product.

2. What you may not do

  • Resell, sublicense or pass the content to anyone else, or expose it through your own API.
  • Bulk-export the library, or offer it as a standalone exercise library or database.
  • Use the content to train or fine-tune AI or machine-learning models.
  • Use it in a second product without a second license.
  • Remove or alter the AI picture disclosure, the clinical disclaimer or, on Starter, the credit.
  • Share your API keys, or use the API to get around your plan's limits.

3. Required notices

  • With every AI-generated picture: “Illustration generated with AI and reviewed by a licensed clinician.” (or wording that makes the same disclosure as clearly).
  • With every exercise and program: “For use under the direction of a licensed clinician. Not medical advice.”
  • Starter plan: “Exercises by HEPonDemand” wherever the Content appears. Growth and Platform may omit it.

4. Caching and termination

You may store Content for up to 30 days from when you fetched it, then fetch it again or delete it. When an exercise is removed from the library, delete it within 30 days. When this license ends, stop displaying the Content and delete all copies within 30 days.

5. Fees and plans

Starter and Growth are billed in advance, monthly or yearly, through Stripe, and renew until cancelled. Access is suspended if a payment fails and restored when it succeeds. Platform terms are set out in an order form. Monthly call quotas are part of each plan.

6. No exclusivity; pictures

Other licensees may use the same Content. The pictures are generated with AI; similar images may exist elsewhere, and we don't claim exclusive rights in them. Our compilation, exercise text and data structure are provided under this contract.

7. Clinical use

The Content is general educational material reviewed by a licensed clinician. It is not medical advice and is not tailored to any patient. You and the clinicians using your Product are responsible for whether and how it is used in care.

8. Warranty and liability

The Content and API are provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose and non-infringement. To the extent the law allows, our total liability under this license is limited to the fees you paid us in the 12 months before the claim, and neither party is liable for indirect or consequential damages.

9. No patient data

The API serves library content only. Don't send us patient information; we don't collect or store any through it.

10. Changes and ending

You may cancel at any time; your plan runs to the end of the paid period. We may suspend or end access if you breach these terms. We may update these terms with 30 days' notice by email. Questions: contact us.
